Training and advice T&Cs
As part of the service we offer to professionals (therapists, counsellors, etc.), we may provide informative content such as articles, webinars, videos and resources, or facilitate networking or training spaces to support you and your practice. These terms and conditions govern the provision of such materials and services to you. Please read them carefully and make sure you understand them. If you do not agree to comply with these terms, you must refrain from accessing these features, either via our Members' Area or elsewhere.
1. Introduction
1.1 Therapy Directory is a trading name of Memiah Limited. Memiah Limited is registered in England and Wales under company number 05489185 and registered for VAT under number GB 920 805 837. Our registered office and main trading address is Building B, Riverside Way, Camberley, Surrey, GU15 3YL.
1.2 We may offer members or non-members of our Therapy Directory marketing advice, resources, tips, profile clinics, webinars and product training, access to networking lounges and other such offerings from time to time (“Training Services”) and, we also provide a Member Marketing Hub (“Marketing Hub”). These terms govern the Conditions on which we will provide such services to you.
1.3 These terms are to be read in conjunction with our Subscriber Terms and/or Site User Terms as applicable. In the event of any conflict between a provision of these terms and the Site User or Subscriber terms, the following order of precedence shall apply:

2. Training Services and marketing hub
2.1 We may provide the Training Services in any format as notified to you from time to time.
2.2 The Marketing Hub offers resources, videos, and articles. The Training Services and Marketing Hub are intended to provide a helpful aid and are not to be considered as providing any legal or specialist marketing advice for which business decisions can be based.
2.3 In the event any Training Services become fully booked, even after we have invited you to an event, we are under no obligation to offer further sessions or events.
2.4 The information provided on the Marketing Hub and/or via the Training Services may or may not be up to date, we accept no responsibility for information which is inaccurate or outdated.
2.5 We can make any changes to our Training Services and/or Marketing Hub if this is necessary to keep to any relevant law or safety requirement, or as Memiah may otherwise wish to change.
3. Access to services
3.1 You, if applicable, will be provided with access details to attend and view the Training Services. Some Training Services may be exclusively for members only.
3.2 We are under no obligation to provide the Training Services and may withdraw these at any time without notice.
3.3 You must co-operate with us in all matters relating to the Marketing Hub and Training Services.
3.4 You must always have all the licences and permissions you need for us to provide the Marketing Hub and Training Services.
3.5 You must give us any information, materials or access we may reasonably need to provide the Training Services and/or Marketing Hub and make sure that the information is accurate.
4. Your obligations
4.1 You must read these terms before using our Training Services and Marketing Hub, and ensure you review them regularly to familiarise yourself with any changes. These terms may be updated and therefore you should refer back to our site for the latest terms.
4.2 You shall join live Training Services promptly. Latecomers may risk missing valuable content and key information will not be repeated for those who arrive after the scheduled start time.
4.3 It is your responsibility to run technical checks before training sessions begin.
4.4 You are prohibited from downloading, storing, reproducing, transmitting, displaying, printing, copying, distributing, or using the Training Services and Marketing Hub in any manner inconsistent with these terms.
4.5 You must not use discriminatory language, comment anything indecent, offensive, abusive, libellous, defamatory or cause disruptive behaviour during any Training Services or, in any contributions in the Marketing Hub.
4.6 You must not share or, engage in any unauthorised form of recording or sharing of the Training Services.
5. Fees
5.1 The Training Services may or may not attract a fee, which will be specified on any invitation or advertisement of the event. If we were unable to run a session and a fee has been paid by you we may, in our sole discretion, refund the fee in whole or part.
5.2 The Fee for the Marketing Hub is incorporated in the directory subscription fee.
5.3 We will endeavour to provide the Marketing Hub and Training Services to the best of our ability. However, if we decide to discontinue our Services for any reason, you will not be entitled to a refund of any or all of your fees (as applicable).
6. Personal data
6.1 We may use your personal data in offering and/or providing you with the Marketing Hub and/or Training Services.
6.2 Our Privacy Notice will apply to our use of your Personal Data as updated on our Therapy Directory site from time to time.
7. Termination
We may suspend or terminate your right to use the Training Services or Marketing Hub at any time including if:
a) You violate or breach these terms;
b) You misuse or abuse the Training Services or use the Training Services in a way not intended or permitted by us; or
c) At any other time whether for our convenience or otherwise.
8. Liability
8.1 Nothing in these terms and conditions shall limit or exclude our liability if such liability cannot be limited or excluded by law.
8.2 We are not liable or responsible for any technical issues which may arise as a result of your failure to ensure compatibility. Due to its inherent nature, you acknowledge that we are not liable or responsible for any delay, disruption, or disturbance in the operation of the Internet.
8.3 We shall have no liability to you if the Marketing Hub or Training Services are withdrawn, delayed or cancelled for any reason.
8.4 Similarly, you acknowledge that access to the Marketing Hub or Training Services may be interrupted due to telecommunications failures which are beyond our control and/or downtime for repairs, maintenance and upgrading.
9. Force majeure
9.1 We are not liable to you if we fail to perform our obligations under these terms or delay in performing them, as a result of a circumstance beyond our reasonable control. Circumstances beyond our reasonable control include industrial action and strikes (whether or not they affect our workforce), power or equipment failures, failure in the transport network, war, riot, accident, breakdown of machinery, fire, flood, storm or failures of our suppliers or subcontractors.
9.2 If circumstances beyond our control prevent us from providing any of our Marketing Hub or Training Services for more than four weeks in a row, we can end the Marketing Hub or Training Services immediately by giving you written notice. We will not be liable in these circumstances to you, nor will you be entitled to a refund of any fees paid.
10. Disclaimer
10.1 Although we do everything reasonably possible to make sure that all the information on our site is accurate and up to date, we cannot guarantee that this is the case. We also cannot guarantee any specific results from using our Training Services.
10.2 Although we ensure our descriptions are accurate as reasonably possible for our Training Services and/or Marketing Hub and information is up to date, we have no liability if this is not the case.
10.3 We use reasonable skill and care to make sure that our Marketing Hub and Training Services are free from viruses and other malware, but we have no liability for any loss or damage arising from a virus, other malware, hacking or any other harmful material or event that may damage or disrupt your hardware, software, data or other material as a result of you using our Marketing Hub and Training Services.
10.4 We can refuse your request to use our Training Services and Marketing Hub at any time and do not need to give you a reason for this decision.
10.5 These terms apply over any other terms that you try to impose or incorporate, or which are implied by trade, custom, practice or otherwise.
10.6 To the fullest extent allowed by law, we exclude all statements, promises, assurances, guarantees and implied terms (including, but not limited to, those shown on websites and in marketing material, adverts, brochures, communications and so on) that may apply to our site or any content on it and are not set out in these terms.
10.7 This clause 10 will continue to apply even after the Training Services or Marketing Hub ends.
11. Variation
Except as set out in these terms, no changes can be made to these terms unless we agree to them in writing.
12. Severance
If any provision or part-provision of these terms is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of these terms.
13. Governing law
These terms and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and interpreted in accordance with the law of England and Wales.
14. Jurisdiction
Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms or its subject matter or formation (including non-contractual disputes or claims).
